These Terms of Service ("Terms") govern your access to and use of the website nu11.fun (the "Site") operated by NU11 Labs LLC ("NU11 Labs," "we," "us," or "our"), a Wyoming limited liability company.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Site.

You must be at least 18 years of age to use the Site. By using the Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are accessing the Site on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

NU11 Labs is a web3 development studio. The Site provides information about NU11 Labs and its projects. We may develop and release software, tools, decentralized applications, and other products or services ("Products"). Each Product may be subject to its own additional terms and conditions.

The Site and its contents, including but not limited to text, graphics, logos, images, and software, are the property of NU11 Labs or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Certain Products developed by NU11 Labs may involve blockchain technology, smart contracts, digital assets, or cryptocurrencies. By interacting with such Products, you acknowledge and accept the following:

Blockchain transactions are irreversible. Once a transaction is confirmed on a blockchain, it cannot be undone. You are solely responsible for verifying all transaction details before confirming.

Digital assets are volatile. The value of cryptocurrencies and digital assets can fluctuate significantly. You should not interact with digital assets unless you understand and are prepared to accept the risks involved.

You are responsible for your own wallet and keys. We do not have access to your private keys, seed phrases, or wallet credentials. If you lose access to your wallet, we cannot recover your assets.

Smart contracts may contain bugs or vulnerabilities. While we endeavor to develop secure software, smart contracts are complex and may contain errors. You interact with smart contracts at your own risk.

Nothing on the Site or in any Product constitutes financial, investment, legal, or tax advice. We do not recommend or endorse any particular digital asset, investment strategy, or financial product. You should consult with qualified professionals before making any financial decisions. Any interactions with digital assets are undertaken at your own risk and discretion.

The Site may contain links to third-party websites or services. We do not control and are not responsible for the content, privacy policies, or practices of any third-party websites or services. Your use of third-party websites is at your own risk and subject to their respective terms and conditions.

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR ANY PRODUCT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY LAW, NU11 LABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR ANY PRODUCT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify, defend, and hold harmless NU11 Labs and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of such courts.

We reserve the right to modify these Terms at any time. If we make material changes, we will update the "Effective Date" at the top of this page. Your continued use of the Site after any changes constitutes your acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NU11 Labs regarding your use of the Site and supersede any prior agreements.
